This is a translation of the Dutch text. In case of any difference, the Dutch version prevails.
1. Who we are
Salondesq is a partnership between Build with Blocks and Clinic Agency. The service is provided and invoiced by Build with Blocks, a sole proprietorship located at Heerbaan 115, 6566 EG Millingen aan de Rijn, the Netherlands, registered with the Chamber of Commerce (KvK) under number 85551945, VAT number NL004113143B90. The agreement is concluded between the customer and Build with Blocks. Contact: info@salondesq.nl.
All exclusions and limitations of liability in these terms also apply for the benefit of Clinic Agency and of all persons involved in developing, providing or supporting the service, including owners, employees and engaged third parties. They may invoke them directly (third-party clause).
These terms apply to every use of Salondesq (the software, the website, the booking widget and all related services) and to every agreement between us and the customer. We expressly reject any deviating terms of the customer.
2. Definitions
- We / us: Build with Blocks, trading as Salondesq, in partnership with Clinic Agency.
- Customer: the business that creates an account and purchases the service.
- Service: the online salon software of Salondesq, offered as software as a service.
- End customer: the consumer who books an appointment through the customer.
- Account: the customer's secure environment within the service.
3. Agreement and account
The agreement is concluded as soon as the customer creates an account and accepts these terms. The service is intended exclusively for business use. The customer is responsible for the accuracy of the details provided and for keeping the login details confidential. Actions performed through the account are at the customer's expense and risk.
The customer ensures that staff members who are given access to the account also comply with these terms.
4. Trial
New customers can use the service during a trial. The length of the trial is shown in the dashboard under Settings > Subscription. During the trial, the customer can stop at any time. If the trial is not stopped, the chosen paid subscription starts when it ends.
5. Subscription, prices and payment
- The subscription is taken out per month and invoiced monthly in advance.
- The price consists of a base price per plan, plus an amount per extra staff member. The current prices are shown in the dashboard under Settings > Subscription.
- All prices are in euros and excl. VAT, unless stated otherwise.
- Payment is handled by our payment service provider Mollie, usually by direct debit or a recurring payment mandate. The customer ensures there are sufficient funds.
- If the customer changes the plan or the number of staff members during a billing period, we charge the difference pro rata and the new price applies from the next direct debit.
- We may change our prices. We announce any price increase at least 30 days in advance. If the customer does not agree, they may cancel the subscription with effect from the date the new price takes effect.
In the event of a failed or late payment, we may, after a reminder with a reasonable deadline, restrict or suspend access to the account until the payment has been made. The customer remains liable for the outstanding amounts, plus statutory interest and reasonable collection costs.
6. Term and cancellation
The subscription continues until it is cancelled. The customer can cancel monthly via the dashboard. The cancellation takes effect at the end of the current billing period; the service remains available until that date. Amounts already paid for a current period are not refunded, unless mandatory law provides otherwise.
We may terminate the agreement with a notice period of 30 days, or end it immediately in the event of a serious breach of these terms, misuse, fraud or bankruptcy of the customer.
After termination, the customer can export their data for as long as the account is still accessible. We then retain the data for a maximum of one year, after which it is permanently deleted. See our privacy policy.
7. Use of the service
The customer does not use the service for unlawful purposes. It is not permitted to:
- use the service in breach of laws or regulations, including privacy and spam rules;
- send unsolicited commercial messages to persons without a valid legal basis;
- circumvent the security, or reverse engineer or copy the service;
- resell the service or make it available to third parties without our permission;
- place a disproportionate load on the availability or performance of the service.
The customer is responsible for the content they place in the service, including texts, images, prices, email texts and their own terms shown to end customers.
8. Availability, maintenance and support
We make every effort to keep the service available as well as possible, but do not guarantee uninterrupted availability. We may temporarily take the service out of use for maintenance, updates or security measures. Where possible, we announce planned maintenance in advance.
We may add, change or remove functionality. In the event of a material restriction of existing functionality, we will inform the customer in advance.
We provide support by email via info@salondesq.nl on working days.
Our hosting provider makes periodic backups, but we do not guarantee that lost or damaged data can be restored. The customer regularly makes their own exports of data that is important to them.
We may discontinue the service as a whole with at least 60 days' notice. The customer can export their data during that period. For periods already paid but not used, we refund the remaining amount pro rata.
9. Payments from end customers
If the customer enables deposits or online payments, these are processed via Mollie. The customer enters into their own agreement with Mollie for this and is bound by Mollie's terms. We are not a party to the payment relationship between the customer, the end customer and Mollie and are not liable for payouts, chargebacks or disputes about them.
10. Relationship with end customers
The customer is responsible for their services to end customers, including appointments, cancellation policies, no-show fees, gift vouchers, prices and complaints. We only facilitate the software.
11. Admin and VAT
The service creates receipts, VAT overviews and exports based on the customer's data and settings, such as prices and VAT rates per service. This is a tool and not tax or accounting advice. The customer is responsible for the accuracy of their records, the VAT rates applied, the numbering, compliance with the statutory tax retention obligation and their tax returns. The customer checks receipts and overviews themselves before using them.
12. Marketing, consent and promotions
The customer is responsible for the messages they send via the service and for the promotions they offer, even if these are carried out automatically, such as newsletters, birthday emails, win-back emails, review requests, discount codes, gift vouchers and rewards from the referral programme. The customer ensures a valid legal basis or consent from end customers, a cookie notice and consent if they use tracking codes, and compliance with the rules on advertising, promotions, discounts, gift vouchers and their tax consequences. We are not liable for the content, timing or consequences of these messages and promotions.
13. Desqie (AI assistant)
Desqie provides automatically generated answers using artificial intelligence. Answers may be incomplete or incorrect and do not constitute professional, legal, tax or other advice. The customer checks answers themselves before acting on them. We are not liable for damage resulting from the use of answers from Desqie. The customer does not enter personal data of end customers into Desqie.
14. Third-party services
The service uses and connects with third-party services, such as Mollie, Google, Meta, our hosting and email providers and AI service providers. We have no influence over those services and are not liable for their availability, operation, changes, costs or terms. The terms of those third parties also apply to their use.
15. Intellectual property
All rights to the service, the software, the design and the documentation belong to us or our licensors. The customer receives a non-exclusive, non-transferable right of use for the duration of the agreement. Data entered by the customer remains the property of the customer. The customer grants us the right to process that data to the extent necessary to provide the service.
We may freely use feedback or suggestions from the customer to improve the service, without compensation.
16. Privacy and data processing agreement
When the service is used, we process personal data of end customers on behalf of the customer. The customer is the controller, we are the processor. The arrangements about this are set out in our privacy policy, which together with these terms constitutes a data processing agreement within the meaning of Article 28 GDPR.
17. Exclusion of liability
The service is provided as is, without any warranty. Build with Blocks, trading as Salondesq, and Clinic Agency exclude all liability for damage arising from or related to the use of the service, to the extent permitted by law. This applies, among other things, to outages, unavailability, errors in the software, incorrect or lost data, missed or double-booked appointments, no-shows, lost revenue, failed, delayed or wrongly sent emails and messages, incorrect receipts or VAT calculations, automatically executed actions such as discount codes and rewards, answers from Desqie, security incidents, problems with payments via Mollie or other third parties, and actions of end customers or the customer's staff members.
The customer uses the service entirely at their own risk and is responsible for their own business operations, for checking data and appointments and for making their own backups or exports.
- Where a full exclusion is not permitted by law, our liability is limited to direct damage and to a maximum of the amount the customer paid us in the three months preceding the event causing the damage (excl. VAT), up to a maximum of 500 euros in total per calendar year. A series of related events counts as one event.
- We are not liable for indirect damage, including loss of profit, lost revenue, loss of goodwill, no-shows, missed appointments or data loss that the customer could have prevented with their own backup or export.
- These limitations do not apply in the event of intent or deliberate recklessness on our part, or where mandatory law does not permit them.
- The customer indemnifies us against all claims by third parties, including end customers, and against fines and measures imposed by supervisory authorities, such as the Dutch Data Protection Authority (Autoriteit Persoonsgegevens) and the ACM, arising from the customer's use of the service, from the customer's data and messages or from a breach of these terms or the law. The customer also reimburses the reasonable costs of defence.
A claim lapses if the customer does not notify us of it in writing within six months of discovering the damage, and in any event twelve months after the event from which the damage arises.
18. Force majeure
In the event of force majeure, we are not obliged to fulfil our obligations. Force majeure includes in any case outages at hosting providers, internet or power failures, cyberattacks, government measures and failures by suppliers such as Mollie or our email provider.
19. Changes to these terms
We may change these terms. We inform the customer at least 30 days before the change takes effect by email or a notification in the dashboard. If the customer does not agree with a material change, they may cancel the subscription with effect from the effective date. If the customer continues to use the service after the effective date, they accept the amended terms.
20. Applicable law and disputes
These terms are governed by Dutch law. We submit disputes to the competent court in the district of Gelderland, unless mandatory law designates another court. We first try to resolve a dispute through mutual consultation.
